This Acceptable Use Policy and Terms of Service (“Terms”) govern access to and use of the PayComply software-as-a-service platform (the “Platform”), provided by Valueance Technology Solutions LLP (“Valueance”, “we”, “us”).
These Terms apply to all customers, subscribers, authorized users and administrators (“Customer”, “you”) who access or use the Platform.
1. Relationship to Other Agreements
These Terms form part of, and operate together with:
In the event of conflict, the MSA and DPA shall prevail over these Terms.
2. Authorized Use
You may access and use the Platform solely to:
Process payroll and related statutory compliance
Manage employee compensation, tax, and benefits data
Perform lawful HR, payroll, and accounting operations
Provide payroll services to third parties where contractually authorized
Use of the Platform must always:
Comply with applicable laws (including Indian labour, tax, and data protection laws)
Be within the scope of your subscription and configuration
Be for legitimate business purposes only
3. Prohibited Activities
3.1 Security & Platform Integrity
Attempt to bypass authentication, authorization, or security controls
Introduce malware, ransomware, or malicious code
Conduct penetration testing without written authorization
Interfere with platform availability or performance
3.2 Data Protection & Privacy
Upload Personal Data without lawful authority or purpose
Process data beyond employee or end-customer authorization
Use the Platform to monitor individuals unlawfully
Attempt to re-identify anonymized or aggregated data
3.3 Legal & Ethical Restrictions
Use the Platform for fraudulent, misleading, or deceptive activities
Violate employment, tax, or statutory payroll regulations
Infringe intellectual property or confidentiality rights
Use the Platform to send unsolicited communications (spam)
4. Customer Responsibilities
You are responsible for:
Accuracy, legality, and lawfulness of data you upload
Obtaining all required consents, notices, and authorizations
Managing user access, roles, and credentials
Ensuring users comply with these Terms
Maintaining secure endpoint environments
Valueance is not responsible for Customer-side misconfiguration or misuse.
5. Data Protection & Confidentiality
Personal Data is processed strictly in accordance with the DPA.
Security measures align with ISO 27001 / SOC 2 control principles
Access to Personal Data is role-based and logged
Confidential Information must not be disclosed except as permitted
Nothing in these Terms expands or limits obligations set out in the DPA.
6. Sub-Processors & Third-Party Services
Valueance may engage Sub-Processors as disclosed at:

Sub-Processor engagement and change control are governed by the DPA.
7. Suspension & Termination
Valueance may suspend or restrict access (with or without notice) if:
There is a security incident or suspected misuse
Continued use poses legal, regulatory, or operational risk
Required by law or governmental authority
Customer materially breaches these Terms
Suspension shall be proportionate and limited to what is reasonably necessary.
8. Monitoring & Audit
Platform activity may be logged for security, compliance, and audit purposes
Logs are retained in accordance with documented retention policies
Monitoring is conducted in compliance with applicable data protection laws
9. Intellectual Property
The Platform, software, documentation, and underlying technology are the exclusive property of Valueance.
No rights are granted except as expressly stated.
Feedback may be used by Valueance without restriction or obligation.
10. Disclaimer
The Platform is provided on an “as-is” and “as-available” basis, subject to the MSA.
Valueance does not warrant:
Uninterrupted or error-free operation
Regulatory outcomes dependent on Customer inputs
Accuracy of third-party statutory data sources
11. Limitation of Liability
Liability arising from use of the Platform is governed exclusively by the MSA.
Nothing in these Terms limits liability that cannot be excluded under applicable law.
12. Governing Law
These Terms are governed by the laws of India, with jurisdiction as specified in the MSA.
